These Terms of Use ("Terms") govern access to and use of the BPI SKU Creator application (the "Application") operated by All Pro Cooling and Heating, LLC ("we," "us," or "our"). By accessing or using the Application, you agree to these Terms.

1. Acceptance of Terms

By signing in to or otherwise using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Application.

2. Authorized Use

The Application is intended primarily for authorized personnel of All Pro Cooling and Heating, LLC and others expressly permitted by the company. You may use the Application only for legitimate internal business purposes related to SKU creation, inventory management, accounting support, and related operational activities.

3. User Accounts and Credentials

Access to the Application requires a company-issued account. You are responsible for maintaining the confidentiality of your username and password and for all activity that occurs under your account.

  • You must not share your credentials with any other person.
  • You must notify an administrator promptly if you suspect unauthorized access to your account.
  • We may suspend or terminate accounts that violate these Terms or company policy.

4. QuickBooks Online Integration

Certain features require connection to QuickBooks Online through Intuit's authorized APIs and OAuth 2.0 permissions. QuickBooks Online access is performed only after an authorized administrator grants consent through Intuit.

You acknowledge that actions taken through the Application may create, modify, or reference records in QuickBooks Online. You are responsible for reviewing significant accounting, inventory, or financial changes before executing them.

5. Permitted and Prohibited Activities

You may:

  • Use the Application within the scope of your assigned job responsibilities;
  • Enter and manage business data in accordance with company procedures;
  • Report bugs, security concerns, or operational issues to an administrator.

You must not:

  • Attempt unauthorized access to the Application, its data, or connected systems;
  • Bypass, disable, or interfere with security controls or authentication mechanisms;
  • Extract, copy, or export data outside your authorized responsibilities;
  • Modify records, configurations, or integrations outside the scope of your authority;
  • Use the Application for unlawful, fraudulent, or harmful purposes;
  • Reverse engineer, probe, or disrupt the Application or its infrastructure.

6. Data Accuracy

You are responsible for the accuracy and completeness of information you enter or submit through the Application. While the Application may assist with SKU generation and data synchronization, you remain responsible for verifying that resulting records are correct before relying on them for business, accounting, or inventory decisions.

7. Intellectual Property

The Application, including its software, design, documentation, and branding, is owned by All Pro Cooling and Heating, LLC or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Application. You may not copy, modify, distribute, or create derivative works except as expressly authorized.

8. Security Responsibilities

You agree to use the Application in a manner consistent with company security policies. This includes safeguarding credentials, using approved devices and networks where required, and promptly reporting suspected security incidents to an administrator.

9. Availability and Changes

We strive to keep the Application available and functional but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Application at any time, with or without notice, for maintenance, security, legal, or business reasons.

10. Disclaimer

THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, All Pro Cooling and Heating, LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Termination of Access

We may suspend or terminate your access to the Application at any time if you violate these Terms, company policy, or applicable law, or if your employment or authorization to use the Application ends. Upon termination, your right to use the Application ceases immediately.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of courts located in Florida, unless otherwise required by applicable law.

14. Changes to Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Last updated" date above and may provide additional notice within the Application. Continued use after changes become effective constitutes acceptance of the revised Terms.
